Referral Program Terms
Last updated: June 1, 2026
1. Agreement to these Terms
These Referral Program Terms ("Terms") govern participation in the ByteHiveBB Referral Program (the "Program"). By signing up as a referrer, you agree to be bound by these Terms. If you do not agree, do not participate. ByteHiveBB ("we", "us") may also require you to sign a separate Referral Agreement before any commission is paid; where that agreement and these Terms differ, the signed Referral Agreement controls.
2. The Program
The Program lets you refer prospective clients to ByteHiveBB and earn a one-time commission on qualifying projects that sign and pay. It is an informal, word-of-mouth arrangement. Participating as a referrer does not make you an employee, agent, partner, or legal representative of ByteHiveBB, and does not authorise you to negotiate, quote, sign, or commit ByteHiveBB to anything.
3. Who can participate
Anyone with genuine goodwill toward ByteHiveBB may apply, including past clients. To become an active referrer you must provide a valid name and email, confirm your email address, agree to these Terms, and complete any onboarding (including a signed Referral Agreement and valid payment details) that we request. We may approve, decline, or deactivate any participant at our discretion.
4. Qualifying referrals
A referral qualifies for commission only when all of the following are true:
- The engagement is a project — it has a defined scope, deliverables, and an end date.
- The project value is at least USD $500.
- The referred client has not signed a ByteHiveBB contract within the prior twelve (12) months.
- The referral is attributed to you by ByteHiveBB before or at the time the project is contracted.
5. Exclusions
- Retainers and recurring services (for example, monthly support, hosting, or ongoing SEO) are not eligible. Only fixed-scope projects qualify.
- Self-referrals are not eligible. You may not claim commission on a purchase where you hold ownership, founder status, or decision-making authority over the referred party's purchase. Employees referring their employer are eligible, provided they are not the decision-maker on the engagement.
- Clients who signed a ByteHiveBB contract within the prior twelve (12) months.
6. Commission structure
Commission is calculated on the project value in USD:
- Under $500 — not eligible.
- $500 to $4,999 — 15% of the project value.
- $5,000 and above — 20% of the project value, capped at USD $2,500 per referral.
The cap means that beyond a project value of $12,500, the effective rate decreases. We determine the project value used for this calculation in good faith based on the signed client contract.
7. How and when you are paid
Commission is earned and paid pro-rata as ByteHiveBB receives the client's payments. For a single-payment project, your commission is paid in full once the client's payment is received. For an installment project (for example 50/50 or milestone-based), your commission is paid in proportion as each installment is received. Commission is never owed on amounts ByteHiveBB has not been paid.
Payouts are processed in a monthly batch and completed by the last day of the month. There is no minimum payout threshold. Local (Barbados-based) referrers are paid by bank transfer; international referrers are paid via Payoneer or an equivalent service. You are responsible for providing accurate payment details and any fees charged by the receiving platform.
8. No clawback
If a client later refunds or disputes a payment after your commission on that payment has already been paid to you, ByteHiveBB absorbs the loss and will not claw back the commission. Because commission is paid only as payments are received, an installment that is never received is simply never commissioned.
9. Verification and payment information
Before your first payout you must have a confirmed email address, an accepted Referral Agreement, and valid payment information on file. We may request tax documentation as a condition of payment — for example a W-9 from US persons or a W-8BEN from non-US persons. We may withhold payment until required information is provided.
10. Independent contractor status
You participate in the Program as an independent contractor. Nothing in these Terms creates an employment, agency, partnership, joint venture, or franchise relationship between you and ByteHiveBB. You have no authority to bind ByteHiveBB or to act on its behalf, and you are solely responsible for the manner in which you refer, including compliance with all applicable laws (including anti-spam and advertising laws) and with the truthful, non-misleading representation of ByteHiveBB and its services.
11. Tax responsibilities
You are solely responsible for determining, reporting, and paying any taxes due on commissions you earn through the Program. ByteHiveBB does not withhold taxes on your behalf except where required by law. Where required, we may issue tax forms (for example a 1099-NEC to US persons earning more than $600 in a calendar year) and may require a completed W-8BEN or W-9 before payment. Barbados-based referrers are responsible for compliance with local Inland Revenue requirements.
12. Limitation of liability
To the fullest extent permitted by applicable law, ByteHiveBB shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the Program or these Terms. ByteHiveBB's total aggregate liability to you for any claim arising out of or relating to the Program shall not exceed the total commission paid to you under the Program in the twelve (12) months immediately preceding the event giving rise to the claim.
13. Changes to the Program
We may modify, suspend, or discontinue the Program, or revise these Terms, at any time. The "Last updated" date above reflects the current version. Changes do not affect commission already earned on referrals attributed before the change took effect. Continued participation after changes are posted constitutes acceptance of the revised Terms.
14. Termination
You may leave the Program at any time. We may deactivate any referrer for any reason, including bad-faith activity, misrepresentation, or breach of these Terms. On deactivation, your referral code stops working and no new referrals will be attributed to you. Commission already earned on qualifying referrals remains payable, subject to these Terms.
15. Governing law
These Terms are governed by and construed in accordance with the laws of Barbados, without regard to its conflict of law provisions. Disputes shall be subject to the exclusive jurisdiction of the courts of Barbados.
